This Vendor Agreement
(“Agreement”) outlines the terms between Tamam.mu (“we,” “our,” or “the
Platform”) and you (“Vendor,” “Seller,” or “you”) for selling products
or services through the Tamam.mu marketplace.
By registering as a
Vendor or listing products on Tamam.mu, you agree to comply with this
Agreement, our General Terms
and Conditions, and our Privacy Policy.
1. Vendor
Eligibility
To become a vendor on
Tamam.mu, you must:
- Be at least 18 years old.
- Operate a legitimate business (registered
or individual).
- Provide accurate and up-to-date business
details, including registration certificate, address, and contact
information.
- Agree to comply with all Mauritian laws,
including taxation, consumer protection, and data privacy regulations.
2. Account
Registration and Management
- Vendors must create a store account on
Tamam.mu and maintain accurate information at all times.
- You are solely responsible for managing
your listings, stock levels, and order fulfillment.
- You must not share your login credentials
with unauthorized persons.
- We reserve the right to suspend or
terminate vendor accounts that violate this Agreement or harm platform
integrity.
3. Product Listings
Vendors are
responsible for:
- Providing accurate titles, images,
descriptions, and prices for each product.
- Ensuring products are authentic, legal,
and in stock.
- Not listing counterfeit, restricted, or
prohibited items (see Section 10).
- Maintaining clear refund, exchange, and
warranty policies visible on your store page.
Tamam.mu reserves the
right to remove or hide listings that are misleading, incomplete, or in
violation of platform rules.
4. Pricing and
Promotions
- Vendors set their own prices but must
ensure they are fair and transparent.
- Any promotional discounts or offers must
be genuine and comply with consumer protection laws.
- Price manipulation (e.g., artificial
discounts, fake scarcity) is strictly prohibited.
- Tamam.mu may feature certain products in
marketing campaigns with the vendor’s consent.
5. Orders and
Fulfillment
- Vendors must confirm and dispatch orders within
the agreed timeframe.
- Orders must be shipped securely and
include appropriate packaging.
- Any delay or stock-out must be immediately
communicated to the buyer and Tamam.mu support.
- Vendors are responsible for ensuring
accurate delivery and tracking updates.
6. Payments and
Commission
- Tamam.mu will collect payments from buyers
on behalf of vendors through secure payment gateways.
- A commission fee or subscription
fee may apply — details will be outlined in your vendor dashboard or
vendor agreement letter.
- Payments (minus applicable fees) will be
disbursed to vendors within 7 business days after successful
delivery confirmation.
- Vendors must provide valid bank details
for transfers.
- Tamam.mu may withhold payments in cases of
refund disputes, fraudulent activity, or policy violations.
7. Returns,
Refunds, and Disputes
- Vendors must honor their published return
and refund policies.
- In case of disputes, Tamam.mu may mediate
between buyer and vendor, but the final resolution rests with the vendor
unless otherwise required by law.
- Repeated unresolved complaints or poor
customer service may result in account suspension.
8. Vendor Conduct
Vendors agree to:
- Conduct business honestly and respectfully
with customers and the Tamam.mu team.
- Avoid fake reviews, misleading claims, or
unethical behavior.
- Respond to buyer inquiries within a
reasonable time.
- Use Tamam.mu solely for legitimate
business transactions.
Unethical, fraudulent,
or deceptive behavior may result in permanent suspension without notice.
9. Data Protection
and Privacy
- Vendors must comply with the Mauritius
Data Protection Act 2017 when handling customer data.
- Buyer data obtained through Tamam.mu may only
be used for fulfilling orders and may not be used for marketing or
external purposes without explicit consent.
- Any data breach must be reported to
Tamam.mu immediately.
10. Prohibited and
Restricted Items
Vendors may not
list or sell:
- Counterfeit or pirated goods
- Weapons, ammunition, or explosives
- Narcotics, drugs, or tobacco products
- Adult or explicit content
- Stolen goods
- Animals or animal parts
- Items that violate intellectual property
rights or Mauritian law
Tamam.mu reserves the
right to determine what constitutes a restricted product and remove it without
prior notice.
11. Intellectual
Property
- Vendors retain ownership of their
trademarks, product images, and content.
- By listing products, you grant Tamam.mu a non-exclusive,
royalty-free license to use your content for display, marketing, and
promotional purposes.
- Vendors are responsible for ensuring that
all product content respects intellectual property rights.
12. Taxes and
Compliance
- Vendors are responsible for complying with
Mauritian tax laws, including VAT registration (if applicable).
- Tamam.mu may require vendors to provide
tax registration numbers or invoices for compliance verification.
- Vendors agree to indemnify Tamam.mu
against any claims arising from tax non-compliance.
13. Platform Fees
and Changes
- Tamam.mu reserves the right to modify
commission rates, subscription plans, or payment schedules.
- Vendors will be notified in advance of any
changes, and continued use of the platform implies acceptance.
14. Termination
Tamam.mu may suspend
or terminate vendor accounts for:
- Breach of this Agreement or general Terms
& Conditions
- Repeated customer complaints or fraudulent
activity
- Sale of prohibited items or legal
non-compliance
Upon termination:
- All listings will be removed from the
platform.
- Pending payments may be held until
disputes or investigations are resolved.
15. Limitation of
Liability
Tamam.mu acts solely
as an intermediary platform connecting buyers and sellers.
We are not liable for:
- Product quality or performance
- Vendor errors or delivery delays
- Loss of revenue, profits, or business
opportunities
- Any indirect, consequential, or punitive
damages
16. Indemnification
Vendors agree to
indemnify and hold harmless Tamam.mu, its affiliates, and staff from any
claims, damages, or liabilities arising from:
- Breach of this Agreement
- Sale of defective, illegal, or
non-compliant goods
- Misuse of customer data
17. Governing Law
This Agreement shall
be governed by and construed in accordance with the laws of Mauritius.
Any disputes will be subject to the exclusive jurisdiction of the courts of
Mauritius.
